ARBITRATION

Any dispute arising out of or related to these Terms or your use of windowresource.com will be resolved through binding arbitration conducted by a single arbitrator under the Commercial Rules of the American Arbitration Association (“AAA”) in Chicago, Illinois.

All discovery must be completed within one hundred twenty (120) calendar days following the appointment of an arbitrator. Both parties have the right to be represented by counsel, present written and oral evidence, and cross-examine witnesses. The arbitration award will be issued in writing with the arbitrator’s reasoning included. The award will be final and binding and may be enforced in any court of competent jurisdiction.

The prevailing party in arbitration may recover reasonable attorney’s fees and costs, including arbitrator and AAA fees, not to exceed twenty thousand dollars ($20,000). The arbitrator may not award punitive or exemplary damages, and both parties waive any right to appeal.

Each party retains the right to seek judicial assistance:
(a) to compel arbitration;
(b) to obtain interim protective measures;
(c) to seek injunctive relief in court as needed to protect confidential or proprietary information;
(d) for claims of copyright, trademark, or trade secret infringement; and
(e) to enforce any arbitration award.

If any AAA rule conflicts with these Terms, these Terms shall control. By agreeing to arbitration, both parties waive the right to file a lawsuit or have a jury trial.

USE OF WEBSITE
